The Buyer and the Seller admit and agree that the Contract supersedes any earlier contract, arrangement or accepting between the Buyer and the Seller. No local, general or trade custom will affect in any way the Contract. Notwithstanding the foregoing, the Seller may without prejudice to its rights, and, in its sole and absolute discretion, elect not to enforce payment of the Contract Price for any special period until further notice to the Buyer, whereupon such notice the Buyer must immediately pay all costs and amounts outstanding. (b) If the Buyer fails to pay the Contract Price to the Seller in full in accordance with this clause, then without prejudice to any other rights lower the relevant Contract or available by law: (4) in the event that the Buyer uses the Goods in some manufacturing or construction process of its own or some third party, then the Buyer must grasp such segment of the proceeds of sale of such manufacturing or construction process as relates to the Goods in trust for the Seller.
